Terms of service

1. Acceptance of Terms — By using this site or purchasing from Kidney Holistic Institute, you agree to these Terms of Service.

2. Our Products — Our supplements are dietary supplements, not drugs. These statements have not been evaluated by the FDA. These products are not intended to diagnose, treat, cure, or prevent any disease.

3. Not Medical Advice — Nothing on this site replaces the advice of your physician or care team. Consult your doctor before starting any new supplement.

4. Orders and Payment — All prices are in USD. We reserve the right to refuse or cancel any order. You must be at least 18 years old to purchase from this site. Orders shipped to an address outside the United States are final sale and are governed by the International Orders section of our Return and Refund Policy. Import duties, taxes and customs charges on international orders are the responsibility of the customer.

5. Subscriptions — Recurring subscription orders are governed by our Purchase Options Cancellation Policy.

6. Intellectual Property — All content on this site is owned by Precision Nephrology Therapeutics LLC and may not be reproduced without permission.

7. Limitation of Liability — To the fullest extent permitted by law, Precision Nephrology Therapeutics LLC is not liable for indirect, incidental, or consequential damages arising from use of our products or site. In no event will our total liability to you for any claim arising from these Terms or your use of our products exceed the amount you paid us for the product(s) giving rise to the claim in the 12 months before the claim arose.

7a. Indemnification — You agree to indemnify and hold Precision Nephrology Therapeutics LLC harmless from any claim, loss, or damage arising from your misuse of our products, including use inconsistent with the label instructions, failure to disclose a medical condition or current medications to your healthcare provider, or violation of these Terms.

7b. Assumption of Risk and Medical Disclosure. By purchasing, you acknowledge that dietary supplements can interact with medications and medical conditions, and that you are solely responsible for disclosing your full medical history and current medications to your healthcare provider and for consulting your physician before use, especially if you have chronic kidney disease or another medical condition.

7c. Force Majeure — We are not liable for any delay or failure to perform resulting from causes outside our reasonable control, including manufacturing or supplier delays, shipping carrier disruptions, natural disasters, or other events beyond our control.

8. Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

(a) Agreement to Arbitrate. You and Precision Nephrology Therapeutics LLC ("Kidney Holistic Institute," "we," "us") agree that any dispute, claim, or controversy arising out of or relating to these Terms, your purchase or use of our products, or your relationship with us (a "Dispute") will be resolved exclusively through final and binding individual arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. This agreement to arbitrate is governed by the Federal Arbitration Act (9 U.S.C. §§ 1-16) and evidences a transaction involving interstate commerce.

(b) Informal Resolution First. Before either party files for arbitration, you and we agree to first try to resolve the Dispute informally. You must send a written notice describing the Dispute to support@drbismah.com; we will do the same to the email or address you have on file. Both parties agree to negotiate in good faith for at least 60 days from the date notice is sent before either party initiates arbitration. This informal process is a required precondition to arbitration.

(c) Arbitration Procedure. Any arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The arbitration will be conducted by a single, neutral arbitrator. Except as this section otherwise requires, the AAA's rules will govern payment of filing, administration, and arbitrator fees — Kidney Holistic Institute will pay costs required under the AAA Consumer Arbitration Rules to make arbitration accessible to you. Arbitration will take place in Harris County, Texas, or another mutually agreed location, or may be conducted by phone, video, or on written submissions where permitted by the AAA rules.

(d) Mass Filing Procedures. If 25 or more similar arbitration demands are filed by or on behalf of claimants represented by the same or coordinated counsel, or arising from substantially similar facts, within a 60-day period ("Mass Filing"), the parties agree that the AAA's (or, if applicable, another agreed administrator's) mass arbitration or batch procedures will apply, including staged filing fees and bellwether proceedings, to the extent such procedures are available. The arbitrator and AAA fee schedules applicable to individual, non-mass filings will not automatically apply to a Mass Filing.

(e) No Class Actions. YOU AND KIDNEY HOLISTIC INSTITUTE EACH AGREE THAT ANY ARBITRATION WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION, INCLUDING UNDER ANY STATE'S PRIVATE ATTORNEY GENERAL STATUTES. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a class or representative proceeding.

(f) Jury Trial Waiver. YOU AND KIDNEY HOLISTIC INSTITUTE EACH WAIVE ANY RIGHT TO A JURY TRIAL OR TO LITIGATE IN COURT, except for claims that qualify for small claims court or as otherwise required by applicable law.

(g) Right to Opt Out. You may opt out of this arbitration agreement and class action waiver. To opt out, you must send written notice to support@drbismah.com within 30 days of your first purchase or account creation, including your name, the email address used for your order, and a clear statement that you wish to opt out of arbitration. If you opt out, neither you nor we will be required to arbitrate, but all other provisions of these Terms will continue to apply.

(h) Severability. If a court or arbitrator determines that the class action waiver in subsection (e) is unenforceable as to a particular claim or request for relief, that claim or request must be brought in court, and all other claims remain subject to arbitration. If any other provision of this Dispute Resolution section is found unenforceable, the remainder will remain in effect.

(i) Survival. This Dispute Resolution section survives termination of your relationship with Kidney Holistic Institute and any termination or expiration of these Terms.

9. Governing Law and Venue — These terms are governed by the laws of the State of Texas. For any claim not subject to the arbitration agreement in Section 8 (for example, a small claims court matter), the exclusive venue is the state and federal courts located in Harris County, Texas.

10. Changes to Terms — We may update these terms at any time; continued use of the site after a change constitutes acceptance of it. Exception: we will not modify Section 8 (Dispute Resolution) as applied to a Dispute of which we have already received notice, and any future change to Section 8 will be posted with a clear effective date and will not apply retroactively to disputes arising before that date.
